1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Customer", "Merchant", or "Tenant") and Nuno Ribeiro (Sole Proprietor / Independent Professional trading as Zero Point Intel, "we", "us", or "our"), concerning your access to and use of the software-as-a-service platform, APIs, dashboard, and related automation integrations (the "Service") operated under the brands Zero Point Intel and Nuncio.
By creating an account, connecting a WhatsApp Business Account (WABA), or using the Service, you agree to be bound by these Terms.
2. Description of Service
Zero Point Intel provides high-assurance, multi-tenant conversational automation and lead qualification platforms for businesses using WhatsApp. Key capabilities include:
- Integration with the Meta WhatsApp Cloud API via Embedded Signup.
- Deterministic AI assistance for inbound quote inquiries, service catalog search, and appointment scheduling.
- Multi-channel unified inbox, lead pipeline management, and owner WhatsApp control planes.
- Automated billing, subscription management, and self-service portal powered by Stripe.
3. Compliance with Meta & WhatsApp Policies
As a condition of using the Service with WhatsApp:
- WhatsApp Business Terms: You agree to strictly abide by the official WhatsApp Business Terms of Service and WhatsApp Business Messaging Policy.
- Commerce Policy: You attest and warrant that your business does not market, distribute, or transact in prohibited categories (e.g. weapons, illicit substances, unregulated financial schemes).
- Opt-in & Consent: You are solely responsible for ensuring that all contacts messaged through the Service have provided valid consent in compliance with applicable telecommunications and privacy regulations (including GDPR and Swiss revDSG).
- Meta Fees: You are directly responsible for adding a valid payment method to your Meta Business Manager to cover Meta conversation fees billed directly by Meta.
4. Subscriptions, Fees, and Payments
Access to our paid tiers is billed on a recurring monthly or annual basis. All subscription payments are processed securely via Stripe. By subscribing, you authorize recurring charges to your designated payment method.
Cancellations: Subscriptions may be canceled at any time via the Stripe Customer Portal. Cancellations take effect at the conclusion of the active billing cycle.
5. Data Privacy & Security
Our processing of personal data is governed by our Privacy Policy. We enforce rigorous technical and organizational measures (TOMs), including TLS 1.3 encryption in transit, AES-256 encryption at rest, and strict database Row-Level Security (RLS) to safeguard tenant data.
6. Prohibited Uses
You agree not to use the Service:
- To send unsolicited spam, mass marketing without prior consent, or deceptive messages.
- To impersonate any individual, entity, or regulatory authority.
- To attempt unauthorized access to another tenant's data, reverse engineer, or decompile the platform.
- In violation of applicable Swiss, European Union, or international laws.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles, alongside applicable mandatory European Union consumer protection and data protection regulations for users within the EU/EEA. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
